Company Secretary - Peter MacCallum Cancer Foundation Ltd
Ongoing, Part-time Role - 40 Hours per Fortnight | Parkville, VIC
The Peter MacCallum Cancer Foundation (Foundation) is seeking an experienced Company Secretary to support strong governance, compliance, and effective Board operations. Reporting to the Board Chair and working closely with the CEO and executive team, this role is central to maintaining best practice governance and regulatory compliance for the Foundation. The Foundation raises vital funds to support cancer research and research-led care at the Peter MacCallum Cancer Centre.
Key responsibilities include:
- Coordinating Board and Committee meetings, agendas, papers, and minutes
- Supporting Board effectiveness and governance best practice
- Managing statutory and regulatory compliance (ACNC, ASIC)
- Maintaining corporate records, registers, and governance documentation
- Act as a key liaison between the Board, CEO, members of Executive on governance matters
About you:
- Experience as a Company Secretary or senior governance professional
- Strong knowledge of corporate governance and compliance requirement, preferably within the not-for-profit and fundraising sector
- Excellent organisational and communication skills
- High integrity, discretion, and attention to detail

The Company Secretary plays a critical role in supporting the Peter MacCallum Cancer Foundation Ltd’s (Foundation) governance and compliance processes, facilitates effective Board operations, and upholds best-practice governance standards in line with the Australian Charities and Not-for-profits Commission (ACNC) Governance Standards and relevant legislation. In addition, the Foundation is establishing a New Fund, and the Company Secretary will support the establishment of the governance of this new fund and providing ongoing Company Secretarial support once established.

Board and Governance Support
- Coordinate Board and Committee meetings, including scheduling and timely distribution of papers.
- Agenda preparation, including drafting and coordinating the drafting of meeting papers with relevant stakeholders
- Prepare accurate minutes and maintain records of resolutions in accordance with the Corporations Act.
- Co-ordinate follow-up on actions arising from Board and Committee meetings.
- Maintain and ensure adherence to the Foundation’s governance calendar and monitor progress against annual work plans.
- Support the review and update of governance documents (Constitution, Trust Deed, Memorandum of Understanding, Committee Terms of Reference).
- Advise the Board and Committee on governance best practices and other governance matters.
- Facilitate the induction and professional development of Directors and Committee members.
- Assume responsibilities of the Chair in the absence of the Board Chair, Chair-elect and Deputy Chair.
Legislative Compliance
- Oversee the legislative compliance program, monitoring, reviewing and reporting on compliance with legal and regulatory requirements.
- Keep the Board informed of statutory obligations.
- Safeguard the integrity of the organisation by promoting the legislative compliance framework.
- Ensure all requirements of ASIC, ACNC, the ATO and any other regulatory body are met.
- Prepare and lodge information with ASIC and ACNC, including Annual Information Statement, in a timely manner.
- Manage and maintain state-based fundraising registrations.
- Ensure adherence to specific company secretarial requirements as set out in the Corporations Act.
- Develop and strengthen governance systems, policies, and internal controls to ensure operational integrity and compliance with best practice standards.

- Maintain accurate corporate records, including minutes, resolutions, and legal documents.
- Ensure that necessary registers are established and updated including Register of Members, Register of Directors and Secretaries, Register of Directors’ Interest.
- Maintain a register of corporate policies as approved by the Board.
- Oversee the identification, disclosure and management of directors’ and officers’ conflicts of interest, ensuring compliance with statutory requirements and governance best practice
- Maintain appropriate insurance cover and report to the Audit & Risk Committee on an annual basis.
- Facilitate timely and accurate risk reporting to the Board and Committees, including escalation of material or emerging risks
- Manage and implement Board Director and Committee member onboarding and offboarding processes, and support the Chair with Board succession planning.
- Coordinate annual director evaluations and oversee governance reviews.
- Organise annual general meetings, as required.
Stakeholder Liaison
- Act as a key liaison between the Board, CEO, members of Executive on governance matters.
- Coordinate communication with members regarding annual general meetings, as required, and other governance-related matters.
Other Duties
- Valued contribution to development and implementation of Foundation strategy
- Understand and comply with Peter MacCallum Cancer Centre and Peter MacCallum Cancer Foundation policies, procedures and legislative requirements
