About the opportunity
Reporting to the Company Secretary, this role plays a key part in supporting Inland Rail Pty Ltd’s corporate governance framework and the effective operation of the Board and its Committees.
You will provide high-quality company secretarial and administrative support to ensure the timely preparation and distribution of Board materials, compliance with governance requirements and regulatory obligations, and seamless coordination across stakeholders.
Key Responsibilities include but are not limited to:

Support Board and Committee operations, including coordinating agendas, papers and minutes

Prepare and distribute Board packs via governance systems

Maintain company secretarial records (including statutory registers) and support ASIC and corporate regulatory filings

Assist in ensuring compliance with the Corporations Act and other legal and governance requirements

Liaise with Board members, ELT members and their EA’s and business stakeholders to support Board, Committee and governance processes

Provide confidential administrative support to the Company Secretary and Directors

Maintain governance processes and systems, calendars and documentation
-
Contribute to continuous improvement of secretariat processes and tools
About you
You are a highly organised and detail-oriented governance professional with the ability and experience to operate in a high-compliance environment while managing competing priorities. Experience with governance systems (e.g. Diligent, SharePoint), supported by a corporate governance or paralegal qualification and exposure to Government Business Enterprises (GBE) will be highly regarded.
You should be able to demonstrate:

Minimum 5 years’ experience in a company secretarial or governance support role

Strong understanding of corporate governance and company secretarial compliance requirements

Experience supporting Board and Committee processes

Experience dealing with public company and/or GBE directors
-
Excellent organisational, communication and stakeholder engagement skills
-
High level of integrity, confidentiality and attention to detail

Ability to work independently and manage multiple deadlines

Proficiency in Microsoft Office and governance systems
