The Corporation Governance Secretary is a senior role responsible for supporting the Board of AMSANT to discharge its statutory and strategic responsibilities. The role acts as Corporation Secretary and ensures AMSANT meets its obligations under the CATSI Act and the AMSANT Rule Book; including providing all necessary administration to support excellence in the corporation’s governance.
The role also contributes senior policy capability to the organisation, undertaking policy work as directed and bringing a strategic mindset to AMSANT's governance and advocacy environment.
Responsibilities
Corporation secretary and Board support

Act as Corporation Secretary, upholding the duties of an officer of the corporation.
- Ensure Board, subcommittee and General Member Meetings are called and held in accordance with the constitution, with agendas finalised in consultation with the AMSANT executive and chair.
- Prepare and circulate meeting papers, produce high quality minutes, and coordinate follow up of actions arising.
- Maintain statutory books and registers and lodge reports with ORIC as required under the CATSI Act.
- Coordinate the AGM, and director induction and ongoing professional development.
- Advise the Board and subcommittees on corporate governance matters.
- Coordinate an annual Board review process
- Conduct culturally appropriate Board induction/onboarding for new directors – including development of a Board induction pack
Governance, risk and compliance

Develop and maintain AMSANT's governance framework, charter and Board and governance policy review cycle.
- Identify and manage governance risks and maintain the governance risk register.
- Monitor and report on compliance with the Rule Book, the CATSI Act and other statutory obligations, and advise on legislative change.
- Establish and maintain a legal compliance register
Policy and strategic contribution

Undertake senior policy work as directed, including research, analysis, submissions and briefings once the corporation’s governance systems and processes are firmly bedded down in the organisation.
- Provide strategic advice on the intersection of governance, policy and AMSANT's advocacy priorities.
- Represent AMSANT in internal and external forums as required.

Organisational and cultural responsibilities

- Work in a culturally safe manner and adhere to community specific protocols.
- Support the employment, professional development and promotion of Aboriginal people across AMSANT.
- Comply with AMSANT WHS policy and undertake other duties consistent with skills and classification.
Selection Criteria (qualifications and attributes)
Essential
-
Tertiary qualifications in law, business management, governance or a related discipline.
- Demonstrated understanding, awareness and respect for Aboriginal culture and politics including an ability to take direction from Aboriginal management and to work cooperatively in a cross-cultural environment.
- Significant experience in a corporate governance role, including legal, audit and risk compliance.
- Working knowledge of the CATSI Act, or demonstrated ability to acquire it, and experience meeting statutory reporting obligations.
- Demonstrated experience developing and maintaining governance, risk or compliance frameworks in a complex organisation.
- High level research, analytical and strategic thinking skills, with the ability to translate complex information into clear advice.
- Excellent written communication skills, including drafting complex minutes, policies, briefing papers and reports for Board and executive audiences.
- Strong interpersonal skills, including the ability to communicate effectively with Aboriginal people from a variety of backgrounds.
- Ability to take initiative, exercise sound judgement and work under pressure with limited supervision.
Desirable

Experience working in an Aboriginal community-controlled organisation.
- Be of Aboriginal and/or Torres Strait Islander descent.
- Experience in policy development or advocacy in the health or social policy sector.
- Governance Institute of Australia qualification or equivalent.
