Role Title: Senior Contracts & Governance Paralegal
Reports to: Finance Director
Location: Melbourne
Employment Type: Casual or 12-month Fixed Term Contract with view to Permanency
The Contracts & Governance Paralegal provides hands-on contract, governance and compliance support to Logicalis Australia during the engagement. The role progresses priority documentation, maintains essential records and identifies matters for decision or escalation to the Finance Director, APAC Legal or authorised approvers.
This role would suit a strong paralegal with commercial contracts experience or an experienced contracts manager looking for their next role at an organisation that supports hybrid working. The successful applicant will have exceptional attention to detail and can work at pace.
Whilst we can’t guarantee permanency, it is expected that the activities performed by this role will be required beyond the contract end date. Starting pay is $125k, up to $145k for the right applicant.
Contract review and negotiation
Review and prepare mark-ups of priority customer, vendor and subcontractor agreements, including tenders, master services agreement schedules, non-disclosure agreements, statements of work and financing arrangements, within approved parameters.
Prepare concise contract summaries identifying material commercial, delivery, liability, security, audit and termination terms for review and decision.
Coordinate input from Sales, Delivery, Finance and APAC Legal, record approved positions and incorporate agreed changes into contract documentation.
Risk and governance
Administer the risk register and coordinate quarterly Risk Committee materials, minutes, actions and reporting.
Maintain the Authority Matrix and authorised-signatory records, and direct approval or execution questions to the appropriate authorised owner.
Track governance actions and escalate overdue or material matters to the Finance Director or appropriate owner.
Compliance and assurance
Coordinate required modern slavery administration, including supplier information, governance approvals and lodgement support.
Compile contract and governance evidence for financial, internal and certification audits.
Coordinate priority customer compliance questionnaires using approved information and maintain supporting records.
Company secretarial support
Prepare draft board resolutions and supporting papers, coordinate approvals and assist with required ASIC lodgements under the direction of the company secretarial lead.
Check document execution against recorded delegated-authority and signing requirements and escalate exceptions.
Contract lifecycle and operational support
Prepare obligation summaries for the PMO and delivery teams covering milestones, payment terms, service obligations and change control, with interpretation issues escalated.
Administer contract intake, review, approval, record-keeping and handover processes.
Success Measures
Priority contract documentation and governance activities are progressed within agreed timeframes.
Material terms, deviations and required approvals are clearly documented and escalated.
Core risk, authority, contract and compliance records are accurate, current and audit-ready.
Required:
At least five years of relevant paralegal, commercial contracts, governance, risk or compliance experience in a corporate, technical or professional-services environment.
Demonstrated experience reviewing agreements, preparing mark-ups and summarising material terms for legal or business approval.
Practical knowledge of contract terms, delegated authority, governance and compliance requirements, with sound judgement about escalation.
Strong written communication, document-management and stakeholder-coordination skills, with the ability to manage priorities with limited supervision.
