As General Counsel & Company Secretary, you will partner closely with the Chief Executive Officer and executive leadership team, helping guide commercial decision-making while ensuring the highest standards of governance, compliance and risk management.
About the Role
Reporting to the CEO on a day-to-day basis, with a direct line to the Board, you will serve as the primary source of legal advice and counsel for our executive leadership team and Board. In this capacity, you will act as the first point of legal contact across the organisation, providing sound, timely advice on matters ranging from commercial contracts and employment issues to regulatory compliance. Success in this role requires the ability to move comfortably between fine legal detail and broader commercial context, backed by the judgement to provide clear, decisive guidance rather than a list of options.
Key Responsibilities
You will oversee Jones Radiology's legal function, managing external legal advisers while providing commercially focused advice on contracts, employment matters and regulatory obligations across Medicare, AHPRA and TGA requirements. Working closely with our People Services team, you will support employment law and workplace matters, and act as lead counsel on any M&A, financing or corporate structuring work as it arises.
As Company Secretary, you will administer our Board and committee processes end to end, including agendas, minutes and ASIC lodgements, ensuring our governance record meets the highest standard and that the Board is well supported in discharging its responsibilities.
This is not a role limited to contract review and administrative oversight. We are seeking a senior legal professional confident operating at Board and executive level, capable of communicating clearly and credibly with clinicians, executives and directors alike.
About You

Admitted to legal practice in Australia, with a strong foundation in corporate and commercial law

8+ years of post-admission experience, gained in-house, in private practice, or across both

Experience within healthcare, radiology or another highly regulated industry is highly regarded

Demonstrated experience as a Company Secretary, having run Board and committee processes end to end

Strong drafting and negotiation skills, with the ability to translate legal issues into clear, practical advice for a non-legal audience

Confident providing advice on employment law, privacy and data protection matters

A track record of leading legal work on mergers, acquisitions, divestments or restructures, from due diligence through to completion

Familiarity with corporate debt and financing arrangements, including facility agreements, security documentation and covenant reporting

A solid understanding of the Corporations Act, ASIC obligations and what strong corporate governance looks like in practice

Working knowledge of the healthcare regulatory environment, including Medicare, AHPRA and TGA requirements

A Graduate Diploma in Applied Corporate Governance or equivalent company secretarial qualification is advantageous, though not essential
