The Team
Our Transaction Advisory Group (TAG) at A&M has grown rapidly, along with the rest of the organisation, since entering the market in late 2022. They provide high-quality financial due diligence and transaction support services to private equity, infrastructure, and corporate clients. TAG professionals—many of whom are former Big Four advisors—help clients navigate buy-side and sell-side transactions through various approaches.
How You Will Contribute
As part of our ongoing expansion, we’re looking to add dedicated Sale and Purchase Agreement (SPA) professionals within TAG.
This is an entrepreneurial opportunity for a driven Manager or Associate Director who enjoys collaborating with senior leadership and is excited by the prospect of helping to shape and grow a specialised offering.
You’ll play a pivotal part in developing our SPA expertise and culture within the team, delivering high-impact advice to clients. Your responsibilities will include –
Managing and supporting SPA engagements, including the review, negotiation and execution of Sale and Purchase Agreements in M&A transactions.
Acting as the primary point of contact for clients, legal advisers and counterparties throughout the SPA process.
Collaborating with due diligence teams across A&M, including Transaction Services, Valuations and Tax, to deliver integrated transaction solutions.
Advising clients on pricing mechanisms, including completion accounts, locked box structures, leakage and permitted leakage provisions, stub period mechanics, and earn-outs.
Helping resolve SPA-related disputes, including around completion accounts, warranty and indemnity insurance interactions, and expert determination processes.
Expert witness and independent accountant work in relation to completion accounts disputes, earn-out arbitrations and other post-deal matters.
Supporting business development initiatives and helping to position A&M as a market leader in SPA advisory.
Qualifications
You’ll ideally bring the following –
Demonstrated experience in SPA advisory and Transaction Services/M&A, from a Big 4 or leading advisory environment.
Deep technical knowledge of SPA structures, pricing mechanisms, completion accounts, locked box arrangements, dispute resolution and expert determination processes.
An entrepreneurial mindset, with a passion for building and growing a new service line.
Strong financial analysis and project management skills.
Excellent communication and stakeholder management abilities.
A collaborative and adaptable approach, with the motivation to make a real impact.
