General Counsel & Company Secretary.

As a trusted advisor to the Executive Leadership Team and Board, you'll provide strategic legal counsel, strengthen governance, oversee enterprise risk, and help ensure the organisation continues to deliver life-changing services to children, families, older people and vulnerable members of our community.

About the Role Based at our
Pennant Hills office, this full-time executive leadership position is responsible for leading CatholicCare's legal, governance, enterprise risk and compliance functions.
You'll provide practical, commercially sound legal advice while supporting informed decision-making across a diverse organisation delivering services in disability, aged care, family services, homelessness, domestic violence, child and family support, and out-of-home care.
Working closely with senior leaders, the Diocese and external stakeholders, you'll ensure CatholicCare maintains the highest standards of governance, legal compliance and ethical practice.
Key Responsibilities
- Provide strategic legal advice to the Executive Director, Executive Leadership Team and Board.
- Draft, negotiate and advise on commercial contracts, funding agreements, property matters and governance documentation.
- Lead CatholicCare's enterprise risk management and compliance framework.
- Oversee corporate governance and fulfil the Company Secretary function.
- Support Board and Committee governance, meetings and reporting.
- Lead and mentor the Quality, Safeguarding, Risk & Compliance and WHS functions.
- Manage external legal providers, litigation and complex legal matters.
- Drive a proactive culture of governance, risk management and compliance across the organisation.
About You
You're an experienced senior legal leader who combines exceptional technical expertise with commercial judgement and a collaborative leadership style.
You'll be comfortable influencing executive stakeholders, navigating complex legal issues and providing practical advice that enables organisational success.
You'll also bring:
- Admission as a Legal Practitioner of the Supreme Court of NSW with an unrestricted practising certificate.
- Significant experience as an in-house legal counsel, General Counsel or senior legal executive within a complex organisation.
- Extensive knowledge of governance, corporate law, commercial contracts, enterprise risk and regulatory compliance.
- Experience working with Boards, Executive Leadership Teams and governance committees.
- Strong leadership experience with the ability to develop high-performing teams.
- Excellent stakeholder engagement, negotiation and influencing skills.
- A passion for ethical leadership and making a positive impact within the community.
