Underwriter – Transaction Risk Insurance
Description:
As an Underwriter, you will form part of a dynamic team of professionals that underwrite Transaction Risk Insurance (TRI), by assessing risk and preparing insurance policies which provide cover for breach of warranties given by the seller in corporate transactions. As an Underwriter, you will be primarily responsible for the technical risk assessment of M&A transactions across the Asia Pacific region, negotiation of drafting positions in our Policy and the commercial development of relationships with Broking partners. You will work alongside our Senior Underwriter based in Sydney, and report to our APAC Manager who is based in Singapore.
Responsibilities:
- Follow underwriting guidelines and submit underwriting, pricing and negotiations recommendations to the underwriting committee of Transaction Risk Insurance;
- Assist and oversee the performance of external legal counsel representing the company in each M&A deal;
- Identify and pursue new business opportunities;
- Develop and maintain relationships with brokers and advising lawyers, and colleagues from Tokio Marine HCC offices worldwide;
- Coordinate and/or participate in special projects including underwriting standards, best practices and legal compliance; and
- Attend off-site conferences, presentations, seminars and meetings.
Requirements:
- Minimum 3 years’ experience in a role focused on corporate M&A transactions, e.g. law firm or corporate legal department, investment banking, advisory roles in financial services, private equity; or relevant experience in TRI underwriting;
- Bachelor’s or master’s degree in law, Economics, Business, Finance or Accounting is a plus.
- Excellent written and oral communication skills in English (fluency) a must. Additional languages are a plus. Basic knowledge of legal exposures in transactions (taxation, breaches, litigation, price adjustment, damages, etc.);
- Understanding of legal documentation, financial statements and tax documentation;
- Specific experience with negotiating or mediating representations and warranties or other transactional risk insurance is a plus.
