Skills and Experience needed:
- You are an experienced banking and finance/financial services lawyer
- You have a strong awareness of the legal and regulatory environment affecting corporate lending, insolvency and restructuring and able to provide advice on insolvency and regulatory matters
- You have demonstrated transactional experience including complex finance structures and asset classes, secondary debt trading and insolvency processes and implementation of restructuring and insolvency structures
- You have sound judgment that will enable you to appropriately balance legal, commercial and customer considerations
- You have experience providing advice and support on transactions for clients in Consumer and Industrial, Financial Institutions, Government, Trade, Funds Finance and Acquisition industry groups
- You have sound judgment that will enable you to appropriately balance legal, commercial and customer considerations
- You have specialist experience in derivatives and ISDA documentation, particularly with proficiency in negotiating ISDA Master Agreements
- You are comfortable being involved in derivative negotiations and transaction work including the preparation, review and negotiation of transaction agreements and trading documents
- You are comfortable working in a fast-paced environment and managing a steady flow of documentation work across a variety of derivative products
- You have experience in retail migrations and have the ability to advise on bbespoke migration journeys for retail and business customers
- You are familiar with the Corporations Act, Design & Distribution Obligations, ASIC Act, Banking Code of Practice, Privacy Act, ePayments Code)
- You have the ability to advise on ccustomer communications, for compliance with misleading and deceptive obligations and consistency with T&Cs and systems and processes, including reviewing app screens, marketing campaigns, customer communications advising of variations to contracts and FAQ's to support customers through the migration
- You have the ability to advise on the build of new products and application and internet functionality required for migrated customers to use, including drafting T&Cs changes, advising on the build's compliance with regulatory obligations and advising on Design and Distribution Obligations (DDO) compliance
- You have the ability to advise on possible warranty and indemnity claims
- You have the ability to advise on the TSA, including advising on change requests and variations
- You have a demonstrated understanding of finance documentation and concepts in the domestic and international markets
- You have experience advising on the implementation of insolvency or restructuring processes
- You are able to identify and manage regulatory and commercial risks
- You have experience drafting and negotiating various finance documents
- You have a strong grasp of relevant laws
- You are comfortable working with and managing engagement with external advisers
- You have the ability to hit the ground running and work autonomously
- You have a minimum of 6 years' experience
- You have the ability to hit the ground running, work autonomously and prioritise
As well as excellent legal experience you will need:
- The right to live and work in Australia (and be based here) and hold or be able to obtain a current practising certificate
- Willingness to engage with Ashurst via an Incorporated Legal Practice or casual employment
